1. Definitions

• "User" any individual or business using the Platform or Services (buyers, sellers, suppliers, etc.).
• "Escrow Service" the service of holding funds with the Company until agreed conditions between buyer and seller are satisfied.
• "Platform" the website, mobile app, or other digital interface provided by the Company.
• "Services" escrow and any additional services offered via the Platform (listing, bidding, communication, premium features).

2. Eligibility

To use our Services you must:

• Be at least 18 years old and legally able to enter into contracts.
• If acting for a business, be authorized to represent that business.
• Comply with all applicable local, national, and international laws and regulations.

3. Escrow Services

The Escrow Service provides a neutral mechanism for holding funds while a transaction is completed. Key terms:

1. Deposit: Buyer deposits funds into escrow using approved payment methods. Funds are held by the Company subject to these Terms.
2. Release: Funds will be released from escrow when one of the following occurs:
   • Both parties confirm completion and request release; or
   • An agreed milestone or condition stated in the transaction is met; or
   • Following the Company’s dispute resolution decision that orders release to one party.
3. Fees: Escrow and service fees will be disclosed prior to initiation of the escrow transaction. Fees may be deducted from the escrow amount or billed separately, as disclosed at the time of the transaction.
4. Neutral Role: The Company acts as a neutral holder of funds and does not guarantee product quality, delivery timeframes, or legality of goods/services.
5. Refunds: Any refund from escrow will follow the agreed terms between buyer and seller or the outcome of dispute resolution. Unless explicitly stated otherwise, fees are non-refundable.

4. Other Services

In addition to escrow, the Platform may provide:

• Product Listing & Showcasing Suppliers can publish product information, specifications, and media.
• Demand Posting & Bidding Buyers can post requirements and receive offers from suppliers.
• Communication Tools Messaging and negotiation features to connect buyers and sellers.
• Premium Features Subscription-based analytics, promotional placements, and advanced tooling.

We may change, suspend, or discontinue any Service or feature at our discretion, with or without notice.

5. User Responsibilities

• Provide accurate and complete information when registering and using the Platform.
• Ensure product listings, samples, and communications are truthful and comply with all applicable safety, export/import, and regulatory requirements.
• Not engage in fraudulent, deceptive, or unlawful conduct, including misrepresenting goods, payment defaults, or unauthorized account access.
• Keep account credentials secure; you are responsible for activity conducted through your account.

6. Fees & Payments

All fees, commissions, and subscription charges for Services will be displayed when you initiate or subscribe to a Service. Key points:

• Payments must be made using approved payment methods on the Platform.
• Fees are generally non-refundable unless otherwise provided in writing.
• We may change pricing; changes will be effective as described in communications at the time of change.

7. Dispute Resolution (Escrow Transactions)

If a dispute arises regarding an escrow transaction, the following process applies:

1. Both parties should promptly provide documentation, shipping proof, inspection reports, or other evidence as requested.
2. The Company may attempt mediation to reach a mutual resolution.
3. If mediation is unsuccessful, the Company will review the evidence and make a determination regarding release of escrow funds. The Company’s decision is final except where law requires otherwise.
4. Parties retain the right to pursue legal remedies where applicable; however, by using escrow services you agree that the Company’s dispute process will be followed before initiating formal legal action, unless immediate injunctive relief is sought in a court of competent jurisdiction.

8. Intellectual Property

The Platform, content, designs, trademarks, logos, and software are owned by the Company or licensed to it. You may not copy, reproduce, distribute, or create derivative works from our IP without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by law:

• The Company is not liable for indirect, incidental, special, exemplary, or consequential damages arising from use of the Services.
• The Company does not guarantee the performance, legality, or quality of goods or services bought or sold via the Platform.
• Our aggregate liability for any claim related to a specific transaction is limited to the fees paid to the Company for that transaction.

10. Termination

We may suspend or terminate your access for violations of these Terms or for suspicious activity. On termination, pending escrow funds will be dealt with according to these Terms, any agreement between parties, and applicable laws.

11. Changes to Terms

We may update these Terms from time to time. The updated Terms will be posted on the Platform with a "Last Updated" date. Continued use of the Services after changes indicates acceptance of the revised Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, India , unless otherwise agreed in writing.
